The Incorporated Societies Act was updated in 2022 to modernise the rules for incorporated societies. 

Every incorporated society – including those in sport and recreation – must re-register under the new Act by 5 April 2026. Societies that do not re-register by this date will no longer be legally incorporated and may be unable to operate.  

Sport New Zealand has developed a range of resources and templates to support sports organisations through the process, including a summary of the main changes to The Act.

Why start now?

The process takes time – clubs that are currently incorporated need to review and update their constitutions to meet the new legislative requirements. Their constitutions must be approved at an Annual General Meeting (AGM) or Special General Meeting (SGM). Most clubs will need to start the process by February 2026 to meet the deadline. 

Missing the deadline could mean frozen bank accounts, loss of legal status, and an inability to continue operating. 

What clubs need to do

Clubs that are currently registered will need to:

  • Review and update their constitutions – you may wish to start fresh or amend your current constitution.  
  • Have their constitution approved by members at an AGM or SGM. 
  • Apply to re-register under the Incorporated Societies Act via the Companies Office
